1. Who we are
KPDemo ("we," "us," "our") provides custom website design, development, and related support services. You can reach us at [email protected].
These Terms of Service ("Terms") govern your use of kpdemo.com (the "Site") and any services we provide to you ("Services").
2. Agreement to these terms
By creating an account, submitting an order, paying a deposit, or otherwise using the Site or Services, you agree to be bound by these Terms. If you do not agree, do not use the Site or Services.
You must be at least 18 years old to use the Site or Services. By using them, you represent and warrant that you are 18 or older and legally capable of entering into a binding contract. If you are under 18, you may not create an account, place an order, or engage us for services.
If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have authority to bind that entity.
3. Services
We design and build custom websites. Depending on the package you purchase, Services may include design, front-end and back-end development, content management setup, basic search engine configuration, account systems, admin tools, and post-launch support.
Published pricing tiers (Demo, Basic, Standard, Premium, Business, Enterprise) describe the general scope associated with each tier. Published prices are starting points. The final price and scope for your project are set out in a written quote or statement of work that we provide and you accept. Where a tier is listed as "$15,000 or more," that indicates a starting price only — the actual figure depends on your project's requirements.
We may decline any project for any lawful reason.
4. Quotes, pricing, and payment
4.1 Quotes
Quotes are valid for 14 days unless stated otherwise. A quote becomes binding when you accept it in writing and pay any deposit due.
4.2 Deposits
Unless your quote states otherwise, we require a non-refundable deposit before work begins. The deposit amount is specified in your quote and is typically 50% of the agreed project total.
4.3 Payment schedule
Unless your quote states otherwise, the remaining balance is due on delivery of the completed website and before transfer of ownership or launch. For larger projects, we may invoice in milestone payments as described in your quote.
4.4 Late payment
Invoices unpaid more than 14 days after the due date may be subject to a late charge of 1.5% per month on the outstanding balance, or the maximum allowed by law, whichever is lower. We may suspend work and withhold delivery or transfer of ownership while any invoice is unpaid.
4.5 Taxes
You are responsible for any sales, use, or similar taxes applicable to your purchase, other than taxes on our net income. If we are required to collect tax, we will add it to your invoice.
5. Client responsibilities
To deliver your project on time, you agree to:
- Provide content (text, images, logos, branding) in a usable format, or approve our use of placeholder content
- Respond to requests for feedback, approvals, or clarification within a reasonable time
- Ensure you own or have permission to use all content you provide, including images, fonts, and trademarks
- Proofread all content before launch, including spelling, pricing, and factual claims
- Maintain your own account credentials and keep them confidential
Delays caused by you may extend the project timeline and, where the delay is substantial, may require re-quoting.
6. Revisions and scope changes
Each project includes up to two (2) rounds of revisions within the agreed scope, unless your quote states otherwise. A "round" means one consolidated set of feedback provided at a single time.
Work beyond the agreed scope — including additional pages, new features, redesigns after approval, or revisions beyond the included rounds — is not included and will be quoted separately at our standard hourly rate of $75 per hour, or as otherwise stated in your quote. We will not begin out-of-scope work without your written approval.
7. Timelines and delivery
Any timeline we provide is a good-faith estimate based on the information available at the time. Timelines assume prompt client feedback and complete content delivery. We are not liable for delays caused by you, by third-party services, or by events outside our reasonable control.
For physical deliverables, if no delivery date is stated, we will deliver within 30 days of the agreed start date. If we cannot meet a stated date, we will notify you and offer either a revised date you accept or a refund of amounts paid for undelivered work, consistent with Section 8.
8. Refunds and cancellation
8.1 By you
You may cancel your project at any time in writing. If you cancel:
- The deposit is non-refundable, as it compensates us for reserved time and initial work
- You will be invoiced for work completed beyond the deposit, calculated on a time-and-materials basis
- Any amount already paid that exceeds the value of work completed will be refunded to you
8.2 By us
We may cancel before work begins, in which case your deposit is refunded in full. We may also cancel if you breach these Terms, fail to provide required content or approvals, or engage in abusive or unlawful conduct. In those cases, deposits are not refunded.
8.3 Digital deliverables
Because custom website work is produced specifically for you and cannot be resold, completed and delivered work is non-refundable. If you believe delivered work does not conform to the agreed scope, contact us within 14 days of delivery and we will work in good faith to correct it.
9. Intellectual property and ownership
9.1 Your content
You retain all rights to content you provide. You grant us a license to use it solely to perform the Services.
9.2 Our work
We retain ownership of all code, designs, and materials we create until final payment has been received in full. Upon full payment, ownership of the custom work product created specifically for you transfers to you.
9.3 Our tools and pre-existing materials
We retain ownership of our pre-existing code, libraries, frameworks, utilities, and general know-how used in your project. Where those materials are incorporated into your site, we grant you a perpetual, non-exclusive license to use them as part of your site.
Until final payment is received, you have no right to use, deploy, modify, or commercially exploit the work we produce.
10. Portfolio rights
Unless you tell us otherwise in writing, you grant us permission to display the completed website, screenshots, and a general description of the project in our portfolio, on the Site, and in marketing materials. We will not disclose confidential business information.
11. Third-party services
Projects may rely on third-party services such as hosting providers, domain registrars, payment processors, and software libraries. Those services are governed by their own terms and pricing. We are not responsible for third-party services, including outages, price changes, discontinuation, or data loss. Hosting and domain registration are not included in our Services unless your quote expressly says so.
11.1 Image and asset attribution
Certain decorative images, graphics, and design assets displayed on this website are used under free-use licences granted by their respective creators and providers. Where a licence requires attribution, we provide it here.
- Background imagery: "Matrix style binary code digital background with falling numbers" — used under the free-use licence of Magnific (formerly Freepik). Free-use licence with attribution.
- Photographic imagery: Photographs used on this site are sourced from Unsplash and are used under the Unsplash Licence (free for commercial use, no attribution required).
All trademarks, logos, and brand names referenced remain the property of their respective owners and are used for identification purposes only. If you believe any asset on this site infringes your rights, contact [email protected] and we will remove or replace it promptly.
12. No guarantee of results
We build websites to a professional standard, but we do not guarantee any specific business outcome. We make no promise regarding search engine rankings, traffic volume, conversion rates, sales, revenue, or return on investment. Any examples or past results we share are illustrative and are not a prediction of your results.
13. Limitation of liability
To the maximum extent permitted by law, our total aggregate liability arising out of or relating to these Terms or the Services is limited to the total amount you paid us for the project giving rise to the claim.
We are not liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost data, or business interruption, even if we were advised of the possibility of such damages.
Nothing in these Terms limits liability that cannot be limited by law.
14. Warranty disclaimer
Except as expressly stated in these Terms or your quote, the Services and any deliverable are provided "as is" and "as available," without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
We do not warrant that your website will be uninterrupted, error-free, or free of security vulnerabilities. We will, however, correct defects in our own work that are reported within 30 days of launch at no charge.
15. Indemnification
You agree to indemnify and hold us harmless from claims, damages, liabilities, and expenses (including reasonable legal fees) arising from content you provide, your use of the delivered website, your breach of these Terms, or your violation of any law or third-party right.
16. Termination
We may suspend or terminate your account or access to the Site at any time if you breach these Terms, attempt to misuse the Services, or engage in unlawful activity. Sections that by their nature should survive termination — including Sections 8, 9, 12, 13, 14, 15, and 17 — will survive.
17. Governing law
These Terms are governed by the laws of the State of Utah, without regard to conflict-of-law principles. Any dispute arising from these Terms or the Services will be brought in the state or federal courts located in Utah, and both parties consent to venue there.
18. Changes to these terms
We may update these Terms from time to time. The "Last updated" date at the top reflects the most recent revision. Material changes will be posted on this page and, where appropriate, communicated to registered users. Your continued use of the Site or Services after changes take effect constitutes acceptance.

20. Demo Site Promotion
From time to time we may offer a promotional discount on our Demo tier (the "Promotion"). The following terms apply to the current promotion offering $50 off a Demo site.
20.1 Eligibility
The Promotion is available only to first-time users. For the purposes of this section, a "first-time user" means a person or business that has not previously:
- Created a KPDemo account, or
- Purchased any KPDemo product or service, including a Demo
Eligibility is determined at the time of order. We may verify eligibility using your account history, email address, payment details, business name, and related information. We reserve the right to decline any order that does not meet the eligibility requirements.
20.2 One demo per customer
The Promotion is valid for one (1) Demo only, per first-time user. The discount may not be applied to multiple Demos, to any other tier (Basic, Standard, Premium, Business, or Enterprise), or to any subsequent purchase.
Attempting to obtain the Promotion more than once — including by creating multiple accounts, using alternative email addresses, or using different payment methods — is a breach of these Terms and may result in cancellation of your order without refund.
20.3 Duration
The Promotion is available for a limited time only. We may modify, suspend, or end the Promotion at any time without prior notice. The Promotion applies only to orders placed and paid while it is active. Orders placed after the Promotion ends are billed at the standard price.
20.4 Pricing and discount
The discount applies to the published list price of the Demo tier. The discounted price is shown at checkout before you complete your purchase. The discount does not apply to taxes, third-party fees, or any additional services purchased separately.
If a refund is issued on a promotional purchase, the refund will not exceed the amount you actually paid.
20.5 No cash value
The Promotion has no cash value, is not redeemable for cash, and cannot be combined with any other offer, discount, or promotion unless we state otherwise in writing. It is non-transferable and may not be sold or assigned.
20.6 Other terms apply
All other sections of these Terms continue to apply to any purchase made under the Promotion, including our payment, cancellation, refund, intellectual property, and limitation of liability provisions. Where this section conflicts with another section regarding the Promotion specifically, this section controls.
20.7 What the Demo includes
A Demo purchase provides a live, working website consisting of:
- Up to three (3) pages — a home page, an about page, and one additional page of your choosing;
- One (1) custom feature built to a single request you specify at the time of order;
- A web address in the form
yourname.kpdemo.com, using a name we supply subject to availability and approval; - The site published and usable, and a demonstration of how we build.
Additional pages, additional custom features, integrations that require a third-party account, and any ongoing hosting are not included and are quoted separately. A Demo is not a full build of a larger package.
20.8 Your demo address
The kpdemo.com subdomain is licensed to you for use while your account remains active and is not transferred or sold. We retain ownership of the kpdemo.com domain and all subdomains under it.
- You may not resell, sub-license, or represent the subdomain as your own registered domain.
- We may require a change of subdomain where a name infringes another party's rights or is otherwise objectionable.
- If your account is closed, or the Demo remains unpaid, we may reclaim the subdomain after reasonable notice. Content is exported to you on request before removal.
- Moving to a full build normally includes pointing your own registered domain at the new site; the demo subdomain can be redirected to it.
20.9 Upgrade credit
If you upgrade from a Demo to any larger package, the amount you actually paid for the Demo is credited against that upgrade.
- The credit applies only to an upgrade of the same project. It cannot be applied to a separate website, a separate project, a different client, or any other product.
- The credit is available for 60 days from the date of Demo purchase, unless we agree otherwise in writing.
- The credit has no cash value, is not transferable, and is not refundable if unused.
- Where the Demo was supplied free under a promotion or coupon, no credit arises, because no amount was paid.
21. Add-ons, bundles, and custom quotes
Beyond the standard packages we offer individual add-ons (for example extra pages, extra custom features, logo and brand work, photography and copywriting, legal document packs, SEO setup, and app store publishing), bundle pricing, and hourly or fixed custom work.
- Prices shown are current at the time of publication and may change. The price that applies to your order is the one shown when you place it, or the one stated in your written quote.
- Bundles are priced for a single project started within the stated window. Components of a bundle may not be split across projects, deferred indefinitely, or exchanged for cash.
- Add-ons that depend on a third-party service (for example a payment provider or an app store) are contingent on that provider approving your account. We are not responsible for a provider's decision, its fees, or changes to its rules.
- Custom work not covered by a package or add-on is quoted separately and requires written acceptance before work begins.
22. Hosting and care plans
Care plans are monthly subscriptions covering hosting, certificates, backups, monitoring, and a stated amount of update time. Where a plan is billed annually, the annual amount is payable in advance.
- Plans renew automatically until cancelled. You may cancel at any time; cancellation takes effect at the end of the current billing period.
- We aim for high availability but do not guarantee uninterrupted service. Scheduled maintenance is notified in advance where practical.
- Update time included in a plan does not roll over between months and does not cover new features, redesigns, or content entry beyond the stated allowance.
- If a plan lapses, hosting and backups may be suspended and eventually removed. We will give notice before removal and will provide an export on request.
- You may instead self-host. In that case we deploy to infrastructure you control, we are not responsible for that infrastructure, and our ongoing obligations end at handover except where a separate support agreement exists.
23. Hardware supply and on-site servers
Where a project requires a server on your premises, we may specify, supply, and configure hardware.
- Hardware is supplied subject to availability and to the manufacturer's warranty. Title passes to you on payment in full.
- Physical security, power, cooling, and network connectivity at your premises are your responsibility.
- Unless a monitoring or support plan is purchased, we are not responsible for hardware faults, power interruptions, or connectivity failures after handover.
- Hardware quotations are valid for 14 days, as component pricing changes.
24. Third-party partners and referrals
We may introduce you to third parties such as insurance providers, legal document services, payment processors, and hosting providers. These introductions are provided as a convenience.
- We are not the provider of those services and do not act as their agent. Any agreement you enter into is directly between you and that third party.
- Insurance is arranged and underwritten solely by the insurer. We do not assess your insurance needs, give insurance advice, or guarantee that any policy is suitable or that cover will be granted.
- Legal document templates and generated policies are not legal advice. We are not a law firm and no solicitor–client relationship arises. You should take independent legal advice where the risk justifies it.
- We may receive a commission or referral fee from a partner. Where we do, we will tell you on request.
- Third-party services are governed by their own terms and privacy practices, not ours.
25. Build approval
Orders placed through our site, including Demo orders, enter a review and approval queue before build work begins.
- We may approve, decline, or request changes to an order. Where an order is declined and payment has been taken, the amount paid is refunded in full.
- Your dashboard shows the current state of an order: awaiting payment, waiting approval, in progress, or complete.
- Approval is at our discretion and may be withheld where a request is unlawful, infringes another party's rights, or falls outside what we offer.
- Timelines begin when an order is approved and any required materials (logos, photographs, copy, access) have been provided by you.
26. Free and discounted codes
We may issue promotional codes. A code is valid only for the product and period stated, may be withdrawn at any time, and may be limited to a single use or a single customer. Codes have no cash value, are not transferable, and cannot be combined unless we state otherwise. Where a code reduces an order to zero, no payment is taken and no upgrade credit arises.
